1. Introduction

1.1 Nature of the Service

SONGPACT™ IS AN ONLINE TECHNOLOGY PLATFORM THAT PROVIDES ACCESS TO MUSIC-RELATED INFORMATION, DOCUMENTS, AND TOOLS FOR INFORMATIONAL AND SELF-HELP PURPOSES ONLY. SONGPACT™ IS NOT A LAW FIRM, IS NOT REGULATED AS SUCH IN ANY JURISDICTION, AND DOES NOT PROVIDE LEGAL, TAX, ACCOUNTING, OR OTHER PROFESSIONAL ADVICE OR REPRESENTATION.

No lawyer-client relationship or legal privilege is created by your use of the Service. Communications with Songpact™ may be disclosed if required by law or court order. You should seek advice from qualified professionals licensed in your jurisdiction if you require professional advice.

1.2 Operator

The Songpact™ Service is owned and operated by Songpact Ltd, a company registered in England and Wales (company number 15145231), with its registered office at 59 St Martin's Lane, London WC2N 4JS, England.

1.3 Acceptance of Terms

By accessing or using the Songpact™ website, platform, APIs, communications, or materials (together, the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms and the Privacy Policy.

1.4 Eligibility

You must be at least 18 years old to use the Service.

2. Pricing Model – No Subscriptions

2.1 Pay-Per-Contract Model

Songpact™ does not operate on a subscription or auto-renewal basis. Users pay only when they choose to purchase contract creation credits.

2.2 Pricing Changes

Prices for credits may change from time to time. Any changes will apply prospectively only and will not affect credits already purchased.

3. Credits

3.1 Credits Defined

A credit is a prepaid unit that entitles the user to initiate one Songpact™ contract proposal through the Service.

3.2 Redemption of Credits

  • One (1) credit is automatically redeemed when a user submits an initial Songpact™ contract proposal to another user.
  • No additional credits are charged for negotiation, revisions, execution, or electronic signing of that contract.
  • Collaborators who receive, negotiate, or sign contracts are not charged.

3.3 Nature of Credits

Credits:

  • Have no cash value
  • Are non-transferable
  • Are non-refundable (except where required by law)

3.4 Expiry

Unless otherwise stated at the time of purchase, credits do not expire, even if your account is inactive or later closed.

3.5 Refunds

Credits are non-refundable once purchased, except where required under applicable consumer protection laws.

3.6 Consumer Rights

Nothing in these Terms excludes, restricts, or modifies any consumer rights or remedies that cannot be excluded, restricted, or modified under applicable law. Where mandatory consumer protection laws apply, refunds or remedies may be available notwithstanding any contrary provision in these Terms.

4. Service Availability and Platform Evolution

Songpact™ is a continuously evolving software platform. We may update, modify, improve, suspend, or discontinue any aspect of the Service from time to time, including features, functionality, integrations, or availability.

While we aim to provide a reliable and accessible service, the Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times.

Songpact™ shall not be liable for any loss or damage arising from service interruptions, bugs, errors, maintenance, upgrades, or platform changes, except to the extent required by applicable law.

5. Intellectual Property

5.1 Ownership

All intellectual property rights in the Service, platform, and Materials are owned by Songpact™ or its licensors.

5.2 Licence

You are granted a limited, non-exclusive, non-transferable licence to use the Service for personal and internal business purposes only.

5.3 Restrictions

You may not copy, modify, distribute, resell, reverse engineer, or commercially exploit the Service or Materials.

6. Your Account

6.1 Account Responsibility

You are responsible for all activity conducted through your Songpact™ account.

6.2 Security

You must keep your login credentials secure and notify Songpact™ immediately of any unauthorised use.

6.3 Authority

If you use the Service on behalf of a business or organisation, you warrant that you are authorised to bind that entity.

7. Electronic Signatures

7.1 Facilitation

Songpact™ facilitates electronic signatures but does not verify user identities.

7.2 Legal Validity

You agree that electronic signatures used via the Service are legally binding to the fullest extent permitted by law.

8. Acceptable Use

8.1 Prohibited Conduct

You must not misuse the Service, including by:

  • Uploading unlawful or infringing material
  • Harassing or abusing other users
  • Attempting to interfere with platform functionality

8.2 Enforcement

Songpact™ may suspend or terminate access for breaches of these Terms.

9. Third-Party Services

9.1 Integrations

The Service may integrate with third-party providers. Songpact™ is not responsible for third-party services or outages.

10. Termination

10.1 User Termination

You may stop using the Service at any time.

10.2 Suspension by Songpact

Songpact™ may suspend or terminate your access for breach of these Terms or misuse of the Service.

10.3 Effect of Termination

Termination does not entitle you to a refund of unused credits, except where required by law.

11. Disclaimer

11.1 No Warranties

The Service and Materials are provided "as is", without warranties of any kind.

11.2 Suitability

Songpact™ does not warrant that contracts generated using the Service are suitable for your specific circumstances.

11.3 Enforceability

Songpact™ does not represent or warrant that any contract, document, or agreement generated, negotiated, or signed using the Service will be legally valid, binding, or enforceable in any particular jurisdiction or circumstance.

11.4 User Responsibility

All contracts and documents generated through the Service are created based on information and inputs provided by users. You are solely responsible for the accuracy, completeness, and appropriateness of all information you input into the Service, including party details, commercial terms, and contractual arrangements.

11.5 User-Provided Information

Songpact™ shall not be responsible for errors, omissions, or outcomes resulting from incorrect, incomplete, or misleading user-provided information.

12. Limitation of Liability

12.1 Exclusion of Damages

To the maximum extent permitted by law, Songpact™ shall not be liable for indirect, incidental, special, or consequential damages.

12.2 Liability Cap

Songpact™'s total liability shall not exceed the total amount paid by you to Songpact™ in the 12 months preceding the event giving rise to the claim.

13. Indemnity

You agree to indemnify Songpact™ against claims arising from your misuse of the Service or breach of these Terms.

14. Force Majeure

Songpact™ is not liable for failure to perform due to events beyond its reasonable control.

15. General

15.1 Entire Agreement

These Terms constitute the entire agreement between you and Songpact™.

15.2 Severability

If any provision is held invalid, the remainder remains in force.

15.3 Assignment

Songpact™ may assign its rights and obligations freely.

16. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England have exclusive jurisdiction.
